NUUDS – BOSTON EVENT SWEEPSTAKES TERMS AND CONDITIONS & OFFICIAL RULES

1. NO PURCHASE NECESSARY TO WIN. MAKING A PURCHASE OR USING OUR SERVICES WILL NOT IMPROVE YOUR CHANCES OF WINNING.

2. SPONSOR: This promotion (“Sweepstakes”) is sponsored by Nuuds LLC located at 4545 Spring Valley Road, Farmers Branch, Texas 75244 (“Sponsor”) and is subject to the following rules, terms, and conditions (“Rules”).

3. SWEEPSTAKES ENTRY PERIOD: This Sweepstakes begin on 05/17/2024 at 12:00:01 AM Central Daylight Time (“CDT”) through 05/20/2024 at 05:00:00 PM CDT.

4. ELIGIBILITY: The Sweepstakes is open to legal residents of the United States located within the United States. Not open to residents outside of the aforementioned geographic area. Entrants must be 18 years or older to participate in this Sweepstakes.

5. ENTRY: There are two (2) ways to enter:

Method #1 Purchase: To receive one (1) entry, entrants must (i) be a resident within the United States, AND (ii) make a purchase from the Sponsor within the Sweepstakes Entry Period AND (iii) share to their Instagram Stories on their Instagram account, the @Nuuds Instagram Reel from May 15, 2024 that identifies the NuudsBoston Pop up announcement.

Method #2 Alternate Method of Entry (“AMOE”): To receive one (1) entry, entrants must (i) be a resident within the United States AND (ii) share to their Instagram Stories on their Instagram account, the @Nuuds Instagram Reel from May 15, 2024 that identifies the NuudsBoston Pop up announcement AND (iii) mail a postcard (the “Mail-In Entry”), including your name, complete address, email address and phone number to the following address to receive one (1) entry into the Sweepstakes:

Each Mail-In Entry must be mailed separately and must be received by the Sponsor by Monday, May 20, 2024. Photocopied, illegible, or mechanically reproduced entries are not eligible. All entries become property of the Sponsor and will not be returned or acknowledged. Sponsor is not responsible for lost, misdirected, or postage-due mailed entries.

6. LIMIT:  You may submit a maximum of two (2) entries per person, one (1) using Method #1 and one (1) using Method #2, during the Sweepstakes Entry Period.

7. PRIZE & DRAWING: At the end of the Sweepstakes Period, Sponsor will randomly select one hundred (100) winners. Each Winner will be added to the guest list of the Boston Nuuds Event, held on May 31, 2024. This prize has a nominal value of $1 and includes admission to the Event, which will include free food and beverages for all guests. Odds of winning depend on the number of entries received.

No substitution or transfers of prize are permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries.

Entries must fulfill all Sweepstakes requirements described in these Rules. Entries that are incomplete or do not adhere to the Rules or specifications may be disqualified at Sponsor’s sole discretion.

8. WINNER NOTIFICATION: Winners will be announced on social media and notified by email starting May 21, 2024, at 5pm CDT. Winners will not receive further notice and are responsible for all transportation to and from the Event. Winners may be required to sign and return within seven (7) business days of notification, an Affidavit of Eligibility, a Liability Waiver, and where allowable, a Publicity Release (collectively the “Releases”). Noncompliance will result in disqualification and an alternate winner may be selected.

If applicable, Prizes will be awarded approximately within 30 days after the winner is verified.

If applicable, Winners are responsible for all federal, state, local and income taxes associated with winning a prize.

If applicable, all income taxes resulting from acceptance of a prize are the responsibility of the winner. By entering this Sweepstakes, entrant accepts and agrees to these Rules and the decisions of the Sponsor, which shall be final in all matters.  Acceptance of a prize also constitutes permission for the Sponsor to use winners’ name and likeness, and biographical information for marketing purposes without further compensation or right of approval, unless prohibited by law. Prizes are awarded “as is” with not warranty or guarantee, either express or implied by Sponsor.

9. LIMITATION OF LIABILITY: By entering these Sweepstakes, entrants waive all right to, and hold Sponsor and its employees, officers, directors and agents of each (collectively “Released Parties”) harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this Sweepstakes or the acceptance, use or misuse of any prize.

10. LEGAL WARNING: Any attempt by an individual, whether or not an entrant, to deliberately interfere with the operation of the Sweepstakes, is a violation of these Rules and may be disqualified at Sponsor’s sole discretion. In the event of a criminal or civil law violation, Sponsor reserves the right to seek damages and diligently pursue against any such individual to the fullest extent permitted by law.

11. CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this Sweepstakes and these Rules are governed by, and construed in accordance with, the laws of the State of Massachusetts, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this Sweepstakes and these Rules shall be brought exclusively in the applicable federal or state courts located in Suffolk, Massachusetts.
